Job Description

An excellent opportunity for a proactive and enthusiastic person to join a well-established Insurance Company as Company Lawyer

 

Job Objectives
To serve as an in-house counsel and provide technical direction for the effective handling of all legal matters and guide the Company on the implementation of statutory requirements of the Companies Act and other relevant laws within the Company. Also act as Compliance Officer by seeing to it that all statutory obligations are met within the period fixed for compliance.

Main Duties & Responsibilities

  • Develop and implement actions that are aligned to the company’s governance strategy.
  • Represent the company at administrative tribunals and courts and provide liaison with outside lawyers hired to assist the Company for specialized legal services.
  • Provide company secretarial and governance services including the following: 
  • Convening Board of Directors’ Meetings, Annual General Meetings and Extra-ordinary General Meetings. Recording and preparation of accurate minutes and resolutions and circulation of same to the members.  Preparation and filing of governance reports and tracking of action points. 
  • Managing and coordinating secretarial functions of the company and its subsidiaries.
  • Filing statutory returns including Annual Returns with the Registrar General’s Department
  • Preparing and filing all alterations to the company’s registration particulars in the prescribed form.
  • Assisting with the implementation of changes in the company’s shares and loan capital. This includes completion of share transfer forms, issuing of share certificates and updating of the members’ registers.
  • Defining, driving and supporting the application of the Companies Act within the company through the development and communication of an operational implementation plan. 
  • Keeping and maintaining statutory documents including the Members & Directors’ Register, Minutes Books and relevant documents and make them available for inspection by shareholders and supervisory authorities, when required.
  • Prepare quarterly reports to the National Insurance Commission and Data Protection Commission.
  • Define, direct and track activities that support good governance and ensure effective team development and performance management system.
  • Review contracts and Service Level Agreements or new business relationships with vendors and subcontractors and advise on delivery against SLAs with business partners.
  • Advise departments on anti-money laundering/combating financing of terrorism and on the provisions of the Data Protection Act.
  • Act as Compliance Officer and guide managers on all statutory, regulatory and compliance matters. Ensure compliance with rules and regulations within the period fixed for compliance.
  • Develop company policy and position on legal issues as well as research, anticipate and advise company against legal risks.
  • Analyze legal issues relating to proposed products.

Required Skills or Experience

  • University Degree 
  • Must have been called to the Ghana Bar (Barrister-at-Law)
  • A minimum of five (5) years post-call relevant experience with 3 years in administration and company secretarial functions in a reputable organization 
  • Extensive knowledge of corporate law and other laws relevant for the operation of an insurance company. 
  • Analytical ability and strong attention to detail.
  • Good leadership and administrative skills 
  • Excellent verbal and written communication skills.
  • Ability to listen and record proceeding of meetings.
  • Good knowledge of the use of MS Office and Company Secretarial Software
